Agreement to our legal terms

We are IKONION Digitale Medien GmbH, trading under the name IKONION (“Company”, ‘we’, ‘us’, “our”), a company registered in Germany at Schopenhauerstraße 9A, 68165 Mannheim, Baden-Württemberg.

We operate the website https://easyeyeweb.com/ (“Website”) and all other related products and services that reference or link to these Legal Terms (collectively, the “Services”).

Easy Eye Web is a cloud-based video hosting platform that plays educational videos created by IKONION on ophthalmic anatomy, diagnostics and treatment procedures. The service allows licensed eye care professionals – such as ophthalmology practices, eye clinics, optometrists and optical retailers – to embed these videos on their own websites for the sole purpose of patient information and visual explanation. Easy Eye Web does not provide medical advice, diagnosis or treatment; all clinical content is for informational purposes only and may only be used in its original form on the customer’s website.

This Legal Notice constitutes a legally binding agreement between you, whether personally or on behalf of a legal entity (“you”), and IKONION concerning your access to and use of the Services. You acknowledge that by accessing the Services, you have read, understood and agree to be bound by these Legal Terms. If you do not agree to all of these Legal Terms, you are expressly prohibited from using the Services and must stop using them immediately.

We will inform you in advance of any planned changes to the services you use. The amended Legal Terms will be effective upon posting or notification via info@ikonion.com as specified in the email message. By continuing to use the Services after the effective date of the changes, you agree to be bound by the amended terms.

The Services are intended for users who are at least 18 years of age. Persons under the age of 18 are not permitted to use or register for the Services.

We recommend that you print a copy of this legal notice for your records.

1. Our services

The information provided when using the Services is not intended for distribution to, or use by, any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement in any such jurisdiction or country. Accordingly, persons accessing the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

The Services are not tailored to comply with industry-specific regulations (Health Insurance Portability and Accountability Act – HIPAA, Federal Information Security Management Act – FISMA, etc.), so you may not use the Services if your interactions are subject to such laws. You may not use the Services in a manner that violates the Gramm-Leach-Bliley Act (GLBA).

2. Intellectual Property

IKONION is the owner or licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs and graphics contained in the Services (collectively, the “Content”) and the trademarks, service marks and logos contained therein (the “Marks”).

Our Content and Marks are protected by copyright and trademark laws (as well as various other intellectual property rights and unfair competition laws) and treaties in the United States and around the world.

The Content and Trademarks are provided on or through the Services “as is” solely for your internal business purposes.

Your use of our Services

Subject to your compliance with these Legal Terms, including the “Prohibited Activities” section below, we grant you a non-exclusive, non-transferable, revocable license to

  • access the Services and
  • download or print a copy of any portion of the Content to which you have properly gained access,

solely for your internal business purposes.

Except as set forth in this section or elsewhere in our Legal Notices, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, sold, licensed or otherwise exploited for any commercial purpose without our express prior written permission.

If you wish to make any use of the Services, Content or Trademarks other than as set forth in this section or elsewhere in our Legal Terms, please direct your request to info@ikonion.com. If we grant you permission to publish, reproduce or publicly display any part of our Services or Content, you must identify us as the owner or licensor of the Services, Content or Marks and ensure that all copyright or proprietary notices appear or are visible when publishing, reproducing or displaying our Content.

We reserve all rights not expressly granted to you in the Services, Content and Trademarks. Any violation of these intellectual property rights is a material breach of our Legal Terms and your right to use our Services terminates immediately.

Your Submissions

Please read this section and the “Prohibited Activities” section carefully before using our Services to understand what rights you are granting us and what obligations you have when you post or upload content through the Services.

Submissions: By submitting questions, comments, suggestions, ideas, feedback or other information directly to us on the Services (“Submissions”), you agree to assign to us all intellectual property rights in those Submissions. You agree that we shall own and be entitled to the unrestricted use and dissemination of such Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.

You are responsible for what you post or upload:
By submitting Submissions to us through any part of the Services, you acknowledge,
  • that you have read and agree to our “Prohibited Activities” and will not post, submit, publish, upload or transmit through the Services any Submissions that are illegal, harassing, hateful, harmful, defamatory, obscene, bullying, abusive, discriminatory, threatening to any person or group, sexually explicit, false, inaccurate, deceptive or misleading;
  • that, to the extent permitted by applicable law, you waive all moral rights in such Submissions;
  • to the extent permitted by applicable law, you waive all moral rights in such Submissions;
  • that such Submissions are yours or that you have the necessary rights and licenses to submit such Submissions, and that you have full authority to grant us the rights set forth above with respect to your Submissions; and
  • that your Submissions do not constitute confidential information.

You are solely responsible for your Submissions and expressly agree to indemnify us for any losses we incur as a result of any infringement by you of this section, the intellectual property rights of any third party or applicable law.

Reference Use of Customer Domains

The Customer grants IKONION the right to reference the Customer’s domain name on IKONION’s websites, pitch decks and marketing materials solely for the purpose of identifying the Customer as a user of the EasyEyeWeb service. IKONION will not display the Customer’s logo, screenshots or any other proprietary content without the Customer’s prior written authorisation.
The Customer may object to the reference use at any time by giving written notice to IKONION. Upon receipt of such notice, IKONION will remove the reference within fourteen (14) days.
This permission is granted free of charge, worldwide and for the duration of the contractual relationship.

3. User Obligations

By using the Services, you represent and warrant that

  • all registration information you submit is true, accurate, current and complete;
  • you will maintain the accuracy of such information and promptly update the registration information as needed;
  • you have the legal capacity and agree to comply with these Legal Terms;
  • you are not a minor in the jurisdiction in which you reside;
  • you will not access the Services through automated or non-human means, whether via a bot, script or otherwise;
  • you will not use the Services for any illegal or unauthorized purpose; and
  • your use of the Services will not violate any applicable laws or regulations.

If you provide any information that is untrue, inaccurate, not current or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).

4. User registration

Registration is required to use the Services. You agree to keep your password confidential and are responsible for all use of your account and password. We reserve the right to remove, reclaim or change any username you choose if we determine, in our sole discretion, that such username is inappropriate, obscene or otherwise objectionable.

5. Purchases and payment

We accept the following payment methods:

  • Mastercard
  • Visa
  • American Express

You agree to provide current, complete and accurate purchase and account information for all purchases made through the Services. You also agree to promptly update your account and payment information, including e-mail address, payment method and payment card expiration date, so that we can complete your transactions and contact you if necessary. VAT will be added to the price of purchases where we deem it necessary. All payments must be made in Euro.

You agree to pay all charges at the then-current rates for your purchases and you authorize us to charge your chosen payment provider for these amounts when you place your order. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment.

We reserve the right to refuse any order placed through the Services. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These limits may also apply to orders placed from the same customer account or under the same payment method and/or to orders using the same billing or shipping address. We reserve the right to limit or prohibit orders that, in our sole discretion, appear to have been placed by dealers, resellers or distributors.

6. Subscriptions
Billing and renewal

Your subscription will continue and renew automatically unless canceled. You agree that we may charge your payment method on a recurring basis until you cancel the applicable order. The length of your billing cycle will depend on the type of subscription plan you selected when you signed up for the Services.

Free trial

We offer a free 7-day trial to new users who sign up to the Services. At the end of the free trial period, the account will be charged according to the subscription plan chosen by the user.

Cancellation

You may cancel your subscription at any time by contacting us using the contact information below. Your cancellation will take effect at the end of the current paid term. If you have any questions or are dissatisfied with our services, please send an email to info@ikonion.com.

Fee Changes

We may make changes to the Subscription Fee from time to time and will notify you of any price changes in accordance with applicable law.

7. Prohibited activities

You may only access or use the Services for the purpose for which we make the Services available. The Services may not be used in connection with any commercial enterprise unless expressly approved or authorized by us.

As a user of the Services, you agree not to:

  • systematically retrieve data or other content from the Services in order to create or compile, directly or indirectly, a collection, compilation, database or directory without our written permission;
  • defraud or mislead us or other users, in particular in an attempt to obtain sensitive account information (e.g. passwords);
  • to circumvent, disable or otherwise interfere with security-related features of the Services, including features that prevent or restrict the use or copying of Content or enforce limitations on the use of the Services and/or their Content;
  • to disparage, denigrate or otherwise harm us and/or the Services;
  • use information from the Services to harass, abuse or harm others;
  • misuse support services or file false reports of abuse;
  • use the Services in a manner that violates any applicable law or regulation;
  • upload, download or transmit any viruses, Trojan horses or other harmful material that interferes with the use or maintenance of the Services;
  • use automated systems such as scripts, bots, data mining tools or scrapers;
  • remove any copyright or other proprietary notices from content;
  • impersonate another user or use another user’s user name;
  • use passive or active data collection tools (“spyware”, pixels, web bugs, etc.);
  • disrupt or impose an unreasonable load on any network or system of the Services; circumvent any measures employed by the Services to restrict access;
  • copy, adapt, decompile or reverse engineer any of the Services‘ software without authorization. interfere with or impose an unreasonable load on networks or systems; attempt to circumvent measures designed to restrict access;
  • copy, adapt, decompile or reverse engineer software without permission;
  • launch or distribute automated systems (other than standard search engines or Internet browsers);
  • use buying or purchasing agents to make purchases through the Services;
  • collect unauthorized usernames or email addresses or create accounts automatically;
  • use the Services as part of a competitive or revenue-generating business;
  • sell or transfer your user profile;
  • advertise or offer goods or services through the Services.
Permitted use

The Easy Eye Web Video Library is licensed for informational and educational purposes only. Embedding or streaming of the videos is limited to qualified eye care professionals – specifically ophthalmology practices, eye clinics, optometrists and optical retailers (collectively, “Authorized Users”) – on their own practice or business-related websites.

Prohibited use

The Videos may not be

  • redistributed, copied, edited or hosted on third party platforms;
  • used for general advertising, lead generation networks, news portals, social media channels or within software or mobile apps;
  • displayed on domains that are not owned or fully controlled by an Authorized User,

unless previously agreed to in writing by IKONION.

Enforcement and termination

IKONION reserves the right to suspend streaming, disable embeds and/or terminate the Easy-Eye-Web account without notice if there is a breach of this clause. Recurring charges will cease from the date of suspension.

Other requests for use

Entities that are not “Authorized Users” may submit a request in writing describing the intended purpose and IKONION may, at its sole discretion, grant a separate license on additional terms.

8. User-generated contributions

The Services generally do not permit the publication of user-generated content. If, by way of exception, we allow you to create, submit or send us content or materials (“Contributions”) on the Services, you represent and warrant to

  • that you are the sole copyright owner of all Contributions or have all necessary licenses, rights and consents to grant us and other users a free, non-exclusive, worldwide, perpetual license to store, reproduce, technically process, make publicly available and otherwise use the Contributions on the Service;
  • that publication, transmission, access or use of the contributions does not violate any third-party rights, in particular copyrights, trademark rights, patent rights, personal rights or data protection rights and
  • that the contributions do not contain any content that violates the law or the contract – in particular no obscene, defamatory, harassing, hateful, violence-glorifying, discriminatory, misleading, illegal or unsolicited advertising content.

We are entitled to review, reject, block, delete or deactivate your user account in whole or in part without prior notice if there are concrete indications of a breach of the above obligations or other legal violations. You indemnify IKONION, our affiliated companies and their bodies and employees against all third-party claims resulting from a culpable breach of these warranties or other legal provisions by your contributions; this includes reasonable legal costs.

9. Guidelines for ratings

We may provide you with areas in the Services where you can submit ratings or reviews. If you post a review, you must comply with the following criteria:

  • You should have first-hand experience with the person/entity being reviewed;
  • Your reviews should not contain offensive profanity or abusive, racist, offensive or hateful language;
  • Your reviews should not contain discriminatory references based on religion, ethnicity, gender, national origin, age, marital status, sexual orientation or disability;
  • Your reviews should not contain references to illegal activity;
  • You should not associate with competitors when posting negative reviews;
  • You should not draw conclusions about the legality of any behavior; You should not make any inferences about the legality of any behavior.
  • You may not post false or misleading statements; and
  • You may not organize a campaign that encourages others to post positive or negative reviews.

We may accept, reject or remove reviews at our sole discretion. We are under no obligation whatsoever to review or delete reviews, even if someone considers the reviews to be offensive or inaccurate. Reviews are not endorsed by us and do not reflect our opinion or the opinion of our affiliates or partners. We accept no liability for a review or for any claims, liabilities or losses arising from a review. By posting a review, you hereby grant us a perpetual, non-exclusive, worldwide, royalty-free, fully-paid, assignable and sublicensable right and license to reproduce, modify, translate, transmit by any means, display, perform and/or distribute any content related to the review.

10. Social media

As part of the functionality of the Services, you may link your account to online accounts you have with third party service providers (each such account, a “Third Party Account”) by either

(1) providing your login credentials for the Third Party Account through the Services; or

(2) allowing us to access your Third Party Account to the extent permitted by the applicable terms governing your use of the applicable Third Party Account.

You represent and warrant that you are authorized to provide us with the login credentials for your Third-Party Account and/or to grant us access to your Third-Party Account without violating the terms governing your use of the applicable Third-Party Account and without us being obligated to pay any fees or being subject to any usage restrictions imposed on us by the Third-Party Account provider.

By granting us access to Third Party Accounts, you agree that

  1. may access, make available and store content that you have provided to and stored in your Third Party Account (the “Social Network Content”) so that it is available on and through the Services through your account, including, without limitation, friend lists, and that
  1. may transmit and receive additional information to and from your Third Party Account to the extent you have provided such information to us.

Depending on the Third Party Accounts you choose and subject to the privacy settings you have set in those accounts, personally identifiable information that you post to your Third Party Accounts may be available in and through your account on the Services.

Please note that if a third-party account or associated service is no longer available or our access to such account is terminated by the third-party provider, the social network content may no longer be available on and through the Services.

You have the ability to disable the connection between your account on the Services and your accounts with Third Party Providers at any time. Your relationship with the Third Party Providers associated with your Third Party Accounts is governed solely by your agreement(s) with those Third Party Providers. We do not review social network content and are not responsible for its accuracy, legality or non-infringement.

You acknowledge and agree that we may access your email address book associated with a third party account and your contact list stored on your mobile device or tablet computer for the sole purpose of identifying and informing you of contacts who have also registered to use the Services.

You may disable the connection between the Services and your Third Party Account by contacting us using the contact information provided below or through your account settings. We will attempt to delete any information stored on our servers that was obtained through such Third Party Account, except for the username and profile picture that will be associated with your account.

11. Third party websites and content

The Services may contain links to other websites (“Third Party Websites”) as well as articles, photographs, text, graphics, images, designs, music, sounds, videos, information, applications, software and other content or items belonging to or originating from third parties (“Third Party Content”) (or sent to you via the Website). Such Third Party Sites and Third Party Content are not investigated, monitored or checked for accuracy, appropriateness or completeness by us, and we are not responsible for any Third Party Sites accessed through the Services or any Third Party Content posted on, available through or installed from the Services, including the content, accuracy, offensiveness, opinions, reliability, privacy practices or other policies of the Third Party Sites or Third Party Content. The inclusion of, linking to, or authorizing the use or installation of any Third Party Sites or Third Party Content does not imply our endorsement or sponsorship thereof. If you decide to leave the Services and access Third Party Sites or use or install Third Party Content, you do so at your own risk and should be aware that these Legal Terms no longer apply. You should review the applicable terms and policies, including the privacy and data collection practices, of any website you navigate to from the Services or relating to applications you use or install from the Services. Any purchases you make through third party websites will be made through other websites and by other companies, and we assume no responsibility with respect to such purchases, which are solely between you and such third party. You agree and acknowledge that we do not endorse the products or services offered on third party websites, and you hold us harmless from any harm resulting from the purchase of such products or services. In addition, you indemnify us against any loss or damage you suffer in connection with third party content or through contact with third party websites.

12. Data protection

By using the Services, you agree to our Privacy Policy, which forms part of these Legal Terms. Please note that the Services are hosted in Germany and the United States. If you access the Services from another region of the world where different laws or regulations apply to the collection, use or disclosure of personal data than in Germany and the United States, by continuing to use the Services, you are transferring your data to Germany and the United States, and you expressly consent to your data being transferred to and processed in Germany and the United States.

13. Termination

These Legal Terms will remain in full force and effect for as long as you use the Services. Without limiting any other provision of these Legal Terms, we reserve the right, in our sole discretion and without notice or liability, to deny access to and use of the Services (including blocking certain IP addresses) to any person for any reason whatsoever, including, but not limited to, for breach of any representation, warranty or covenant contained in these Legal Terms or of any applicable law or regulation.

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of a third party, even if you are acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including but not limited to civil, criminal and injunctive remedies.

14. Changes and interruptions

We reserve the right to change, modify or remove the content of the Services at our reasonable discretion. We cannot guarantee that the Services will be available at all times. Hardware, software or other problems may occur or we may need to perform maintenance in connection with the Services, which may result in interruptions, delays or errors. We reserve the right to change, revise, update, suspend, discontinue or otherwise modify the Services at any time. You agree that we will not be liable for any loss, damage or inconvenience caused by your inability to access or use the Services during any downtime or suspension of the Services.

15. Applicable law

These legal terms shall be governed by and construed in accordance with German law, the application of the United Nations Convention on Contracts for the International Sale of Goods being expressly excluded. If you have your habitual residence in the EU and are a consumer, you will also enjoy the protection afforded to you by mandatory provisions of the law of your country of residence. IKONION Digitale Medien GmbH and you submit to the non-exclusive jurisdiction of the courts of Baden-Württemberg, Mannheim, which means that you can assert your consumer protection rights in relation to these legal terms and conditions in Germany or in the EU country in which you are resident.

16. Dispute resolution

In order to expedite and control the costs of resolving any dispute, controversy or claim relating to these Terms of Use (each a “Dispute” and collectively the “Disputes”) brought by either you or us (individually a ‘Party’ and collectively the “Parties”), the Parties agree to first attempt to negotiate informally any Dispute (other than those Disputes expressly identified below) for at least thirty (30) days before commencing any proceeding. Such informal negotiations shall commence upon written notice from one party to the other.

17. Corrections

The Services may contain information that contains typographical errors, inaccuracies or omissions, including descriptions, prices, availability and various other information. We reserve the right to correct any errors, inaccuracies or omissions and to change or update the information in the Services at any time.

18. Limitations of liability

IKONION is only liable for intent and gross negligence. In the event of a breach of material contractual obligations due to simple negligence, liability is limited to the foreseeable damage typical of the contract and shall in no case exceed the net remuneration paid by the Customer in the current contractual year. Any further liability, in particular for indirect damages, consequential damages, loss of profit, business interruption or loss of data, is excluded. The respective provider bears sole responsibility for content that the customer or third parties integrate into Easy Eye Web. If the Customer infringes the rights of third parties through its use, it shall indemnify IKONION against all resulting claims and shall bear the reasonable costs of legal defense. In all other respects, the statutory provisions shall apply.

19. Indemnification

The Customer undertakes to indemnify IKONION, its affiliated companies, board members, authorized representatives and employees against all third-party claims, including reasonable legal defense and court costs, insofar as these claims are based on the fact that (a) the Customer uses the service or integrates content that infringes third-party rights (in particular copyrights, trademark rights or personal rights), (b) the Customer violates these Terms of Use or warranted characteristics or (c) the Customer intentionally or grossly negligently harms other users. IKONION may assume the sole defense and settlement of such a claim at the Customer’s expense; the Customer must cooperate fully and provide all necessary information in good time.

20. User data

We store certain data that you submit to the Services in order to administer the performance of the Services, as well as data related to your use of the Services. Although we perform routine backups on a regular basis, you are solely responsible for any data that you submit or that relates to any activity you have performed using the Services. You agree that we shall have no liability to you for any loss or corruption of such data, and you hereby waive any right of action against us arising out of any such loss or corruption of such data.

21. Electronic communications, transactions and signatures

Visiting the Services, sending e-mails to us, and completing online forms constitute electronic communications. You agree to receive electronic communications and you agree that all agreements, notices, disclosures and other communications that we provide to you electronically, by email and through the Services satisfy any legal requirement that such communications be in writing. You hereby consent to the use of electronic signatures, contracts, purchase orders and other records and to the electronic delivery of notices, policies and records of transactions initiated or completed by us or through the Services.

22. Miscellaneous

These Terms of Use and any policies referenced herein constitute the sole agreement between you and IKONION. Our failure to exercise or enforce any right or provision shall not constitute a waiver thereof. We may assign our rights and obligations under this Agreement, in whole or in part, to affiliates or other third parties; any assignment by the Customer is subject to our prior written consent. Events of force majeure or other circumstances for which we are not responsible shall release us from our performance obligations for the duration and scope of the hindrance. Should a provision of this contract be invalid or unenforceable in whole or in part, the validity of the remaining provisions shall remain unaffected; the invalid clause shall be replaced by the permissible provision that comes closest to the economic purpose. No corporate, agency, employment or fiduciary relationship is established by these Terms of Use. Conflicting business or contractual terms and conditions of the customer shall not apply. All notifications and declarations under this contract may be made in text form; any further requirement for written form is excluded to the extent permitted by law. Objections to the electronic form or the absence of handwritten signatures are excluded. The place of jurisdiction is Mannheim, Germany.
